MASTER SERVICE AGREEMENT AND ORDER CONFIRMATION

1. PARTIES

This Master Service Agreement (the "Agreement") is made between Acre Osterwald Partners Limited, trading as Redomiciled ("Redomiciled, "we","us"), of UNIT 1113, 11/F., PENINSULA CENTRE, 67 MODY ROAD, TSIM SHA TSUI HONG KONG, Yau Tsim Mong District, Hong Kong SAR China and the client identified below (the "Client" "you").

2. OUR SERVICES

Redomiciled helps clients understand and build a workable global banking structure. We map the banks, jurisdictions and account types available to you, and explain the parameters that determine whether a banking structure will succeed - including structure, ownership and residency. Our services, may include a structured overview of banking options aligned to your objectives, introductions to the specific banks or payment providers relevant to your needs, and support through each providers onboarding and account-opening process. They may also include coordination of any supporting company formation, residency or other structuring steps needed to support that banking structure, and introductions to the licensed law firms, accountancy firms, corporate service providers or third parties required to fulfil your needs. We do not provide regulated legal, tax, financial, investment or immigration advice ourselves - see clause 3

3. HOW WE WORK

We combine an in-house team with a curated network of 170+ vetted partners across key jurisdictions, including licensed banks, law firms, accountancy firms and corporate service

providers. Where specialised or regulated advice is required, qualified, licensed professionals are engaged to handle jurisdiction-specific banking and legal matters, and we coordinate and streamline the process on your behalf. We guarantee our effort and process, not results: outcomes such as bank account approvals and structuring decisions depend on third parties and remain subject to their own review and decision. Regulated and professional services are delivered by independent providers, not by

Redomiciled. Unless we agree otherwise with you in writing, you contract these providers

directly and they are responsible to you for their own work; Redomiciled is not responsible for their acts, omissions or advice.

Our services are informational and coordinating in nature. Before acting on anything we provide, you must obtain advice from a suitably qualified, regulated professional in the relevant jurisdiction. You remain responsible for your own decisions and for complying with the laws that apply to you, including tax filing and disclosure obligations.
Redomiciled is not a law firm, tax advisory firm, regulated investment adviser or immigration

adviser, and does not hold itself out as any of these.

4. FEES & ENGAGEMENT

An engagement fee (invoiced separately) is required to initiate services and covers initial planning, ongoing coordination, and access to our network. Third-party provider costs

are separate and are your responsibility. If you cancel before we start work, the fee is refunded in full. Once work has started, the engagement fee is non-refundable, reflecting the allocation of time, expertise, and infrastructure to your engagement.

We may receive a referral bonus from banks, providers and other third parties we

introduce you to. This does not increase what you pay them. You may ask us for further detail of any such payments relating to your engagement.

5. CONFIDENTIALITY

We treat all personal, financial and business information you share as strictly confidential, and will only disclose it where necessary to advance your objectives (with your awareness) or where required by law.

6. DATA PROTECTION

We process your personal data as a controller to provide our services, including transfers to our providers and group entities under appropriate safeguards.

7. LIMITATION OF LIABILITY

Nothing in this Agreement limits liability for death or personal injury caused by our negligence, or for fraud. Subject to that, our total liability for any engagement is limited to the fees you paid us for that engagement in the 12 months before the claim arose. We are not liable for the acts, omissions or advice of independent providers, for outcomes determined by third parties, or for loss caused by inaccurate information you give us or by acting without the regulated advice referred to in clause 3.

8. CLIENT INDEMINITY

You indemnify us against losses, claims and costs arising from inaccurate

information you give us, misuse of any structure, or acting contrary to the regulated advice

referred to in clause 3.

9. GROUP & ASSIGNMENT

We may transfer this Agreement to another company in our group on notice to you, without

reducing the service you receive. You may not assign this Agreement without our consent.

10. GOVERNING LAW

This Agreement is governed by the laws the Hong Kong Special Administrative Region.

11. ACCEPTANCE

By signing below, both Parties confirm that they have read, understood, and agree to the terms set out in this Agreement.
